Ka Yew’s main areas of practice are general corporate law, company law, mergers and acquisitions, venture capital, corporate finance and information technology. He has been involved in initial public offers and other fund-raising exercises in and outside Singapore. He advises listed companies on corporate governance and compliance with the post-listing rules of the Singapore Exchange. He has drafted, vetted and negotiated various types of agreements including share purchase agreements, restructuring agreements, subscription agreements, joint venture agreements and convertible loan/bond agreements. He also advises on the licensing requirements for the provision of capital markets services and financial advisory services in Singapore. He had a 2-year stint as the legal counsel of a global information technology company. He had drafted, vetted and negotiated IT agreements relating to licensing, outsourcing, strategic alliance, software development, distribution, consultancy, non-disclosure and service-level.
